Individual Entrepreneur Andrei Viktorovich Svirin, INN 772872317733, OGRNIP 322774600176722, hereinafter the Provider, hereby offers individuals, individual entrepreneurs and legal entities, hereinafter the Client, a contract for services for a fee on the terms below. The Offer is published at the internet address: https://aml-expert.ru/legal/public-offer/
1. Terms and document status
1.1. Offer — this document containing general contractual terms and addressed to an indefinite group of persons within paragraph 2 of Article 437 of the Civil Code of the Russian Federation.
1.2. Enquiry — the Client's contact through the website, email, messenger, telephone or another method describing the object and proposed questions. An Enquiry alone does not constitute acceptance of the Offer or oblige the Provider to accept an examination.
1.3. Invoice-Order — a paper document, electronic document or electronic message created by the Provider defining individual terms for a specific order: service type, object, questions, materials, price, payment procedure, timeframe, deliverable format and other particulars. The Invoice-Order becomes part of the contract after acceptance of the Offer.
1.4. Services — contractual out-of-court examination of an object, peer review of an expert or specialist opinion, consultation on matters requiring specialised knowledge and preparation of the corresponding written deliverable, and other actions expressly listed in the Invoice-Order. Services are provided within the Provider's specialised knowledge and competence.
1.5. Specialist Opinion — the written deliverable of a contractual out-of-court examination containing a description of actions performed, professional judgments and findings within the specialist's competence. If a review, consultation or other deliverable is ordered, its title, contents and format are defined in the Invoice-Order.
1.6. Object — an item, equipment, document, digital data, premises, structure, material, sample or other examination subject identified in the Invoice-Order.
1.7. Materials — documents, copies of case materials, images, audio and video recordings, digital data, links, information and other data provided for examination by the Client, their representative/defence counsel or another person with a lawful basis for transfer.
1.8. Client — an individual, individual entrepreneur or legal entity that concludes a contract with the Provider by accepting this Offer. The Offer applies irrespective of the Client's legal status unless mandatory Russian Federation law expressly provides otherwise. Where law grants a category of Clients additional rights and guarantees, the Offer does not restrict them. The Client may commission an examination in another person's interests where consistent with law and the service's nature. The deliverable recipient is specified separately; such an order does not itself establish representation authority or the other person's consent to data processing.
1.9. Payer — the Client or a third party paying for a specific Invoice-Order on the Client's instruction or in the Client's interests. Third-party payment does not itself make that party the Client or recipient of the Specialist Opinion or entitle them to demand a predetermined finding. The Client identifies the recipient subject to confirmed authority and statutory requirements.
1.10. Representative/defence counsel — an advocate, defence counsel, Client representative or other authorised person entitled, on the Client's instruction, to transfer materials, formulate questions and receive the deliverable within confirmed authority. Authority is confirmed by the Client's written message through an agreed channel, a power of attorney, advocate's warrant or another statutory method, considering the particular action and relevant document's content. The Provider may request confirmation. Authority to transfer materials does not itself include authority to change the assignment, approve additional expenses or receive the deliverable.
2. Contract conclusion and acceptance
2.1. Before creating an Invoice-Order, the Provider may assess material sufficiency, whether the assignment matches their competence, absence of conflicts of interest, ability to meet the timeframe and necessary conditions. Before acceptance, the Provider may decline to create an Invoice-Order without giving reasons.
2.2. Full and unconditional acceptance of the Offer consists of full payment or partial payment expressly provided by the Invoice-Order, made by the Client or a third party for and on the instruction of the Client. With third-party payment, the Client's intention to conclude the contract and allocation to the particular Invoice-Order must be evidenced by agreed correspondence, payment purpose or other reliable information. The Invoice-Order defines the payment constituting acceptance. Partial payment forms part of the total service fee and is credited at final settlement. The Invoice-Order must refer to the Offer and its version date. With online payment, acceptance also consists of the Client simultaneously selecting agreement to the Offer and making the payment specified by the Invoice-Order. The Client may accept these terms only by acceding to them as a whole. Partial, conditional or qualified acceptance of the Offer is not permitted. Individual order terms are defined by the Invoice-Order and agreed simultaneously with acceptance of the Offer.
2.3. The contract is concluded when payment constituting acceptance reaches the Provider's account or is confirmed by the payment operator. The written form requirement is deemed satisfied.
2.4. The contract consists of the Offer, accepted Invoice-Order, Enquiry and documents and messages agreed by the Parties. Separately signing a paper contract or individual assignment is not required for acceptance under the Offer, although the Parties may agree to prepare and sign them on paper. Electronic documents and electronic exchange channels are not mandatory.
2.5. The Invoice-Order is an integral part of the concluded contract and contains the individual terms, including examination type, object, questions, materials, fee, payment procedure, timeframe and other agreed service particulars. If general Offer terms conflict with specific Invoice-Order terms, the Invoice-Order applies unless contrary to mandatory Russian Federation law or restrictive of Client rights granted by it.
2.6. The Provider may amend or supplement this Offer by publishing a new version at the address specified herein. A new version applies only to contracts accepted after publication and does not change earlier contracts. Separate notice to persons who have not accepted is unnecessary. Earlier contracts use the Offer version specified in their Invoice-Order. A concluded contract may be amended by written agreement of the Parties, including an addendum, new Invoice-Order or electronic messages reliably establishing their intention. The Provider may correct obvious typographical errors, technical mistakes and inaccuracies in the published text without separate notice if these do not alter the subject, fee, timeframe, payment procedure, Parties' obligations or other terms of earlier contracts. The Provider keeps an archive of Offer versions and their effective periods.
2.7. The Invoice-Order may be delivered on paper personally, by post or delivery service, or sent to an agreed email address, including as a PDF or email text, through electronic document interchange or another agreed channel. The Parties agree the method; electronic format is not mandatory. Before the payment constituting acceptance, the Client receives individual order terms and the applicable Offer on paper or electronically, including by link. Separate signing of the Invoice-Order is unnecessary unless expressly required by it or law. Providing the Invoice-Order without the specified acceptance does not conclude a contract.
3. Subject and scope of Services
3.1. The Provider undertakes to perform work expressly agreed in the Invoice-Order, within their competence and lawful conditions, and deliver the specified result to the Client or authorised recipient. The Client undertakes to provide necessary materials, accept and pay for Services.
3.2. The Invoice-Order defines the service type, object, questions, materials, deliverable title and format, fee, timeframe and special conditions. Offer provisions on delivery of the Specialist Opinion and service acceptance also apply, as appropriate, to a review or other agreed deliverable.
3.3. The Provider examines only agreed objects, materials and questions. New objects, additional questions, repeat inspections, analysis of later materials and preparation of addenda are additional Services unless agreed otherwise in writing.
3.4. The Client may submit the Specialist Opinion to a court, public authority, seller, manufacturer, insurer or other person. The Provider does not guarantee its admission, acceptance or any particular assessment by a third party.
3.5. The Service does not include legal representation, drafting procedural documents, assessing dispute prospects or attending hearings. A contract under this Offer does not itself appoint a forensic examination by procedural act. If an examination is appointed by a court, investigator or other authorised authority, the relevant procedural law and appointment document apply; this Offer does not replace them.
4. Independence and examination quality
4.1. The Provider signing the Opinion remains independent, has no financial or other interest in a predetermined outcome and formulates findings using specialised knowledge, examined materials and methods applied.
4.2. The Client may not exert pressure, demand omission of adverse information, require a method contrary to the specialist's professional judgment or demand a predetermined finding.
4.3. Payment is for conducting the examination and preparing the Opinion, rather than obtaining an outcome matching the Client's expectations or legal position.
4.4. Disagreement with objectively substantiated findings, failure to obtain an expected outcome or a third party's refusal to accept the Opinion do not themselves indicate inadequate service quality.
4.5. The Provider corrects their typographical, arithmetic and other obvious technical errors without additional charge. Changes to the assignment, examination of new materials or preparation of new findings are paid separately.
4.6. The Provider accepts assignments within specialised knowledge and confirmed qualifications and assesses source data sufficiency and possible finding limits. Additional material needs and engagement of relevant specialists are agreed with the Client. The deliverable does not guarantee any bank, regulator, court or other third-party decision.
Method selection and the deliverable's evidentiary value depend on the assignment, object characteristics, source data quality and sampling method. Laboratory work and relevant personnel are determined and agreed separately; the contract does not replace procedural appointment of a forensic examination.
4.7. Specific information on the Provider's education, professional retraining, continuing education, certification and other documents relevant to the examination may appear in the Invoice-Order, Specialist Opinion or its attachments.
4.8. At the Client's request, the Provider makes information on relevant education and qualification documents available for review. Copies may redact information unrelated to confirming qualifications.
4.9. Representations of education, qualifications and absence of barriers to practising do not guarantee a predetermined examination finding, acceptance of the Specialist Opinion by a court, public authority or other person, or achievement of a particular judicial, administrative, insurance or commercial outcome for the Client.
4.10. If, after contract conclusion, the Provider discovers that agreed questions fall wholly or partly outside their specialised knowledge or require a differently qualified specialist, the Provider informs the Client and proposes changing the assignment, engaging the relevant specialist or terminating the relevant part, with settlement under this Offer.
5. Provider rights and duties
5.1. The Provider must act in good faith, observe the agreed scope, safeguard accepted objects and materials, protect confidential information and notify the Client if continuing the examination proves impossible.
5.2. The Provider may independently choose scientifically and methodologically substantiated examination methods within the assignment unless special conditions are agreed in the Invoice-Order.
5.3. The Provider may request additional materials, documents, samples, explanations and access to the object and suspend the service period pending receipt.
5.4. The Provider may decline to prepare the Opinion or propose changing the assignment if questions exceed their specialised knowledge, materials are insufficient or unsuitable, the object is lost or altered, a conflict of interest exists, the examination is dangerous or unlawful, or necessary conditions are absent.
5.5. The Provider signs the Opinion personally unless the Invoice-Order states otherwise. Auxiliary operations, laboratory tests, measurements and consultations may be entrusted to specialists or laboratories after prior agreement of costs with the Client. Such engagement and its results are reflected in the Opinion where relevant.
5.6. The Provider may send enquiries to third parties but does not guarantee a response or acquire public powers to demand information under this contract.
6. Client rights and duties
6.1. The Client must provide complete and accurate information about the object and presumed exposure source, discovery and recording of traces, sampling place, time and method, packaging, storage, movement, and previous measurements and examinations where these may affect findings.
6.2. The Client ensures lawful grounds for obtaining and transferring the object and materials, necessary permissions, consents or other statutory grounds for their use in the agreed examination. If a representative/defence counsel or other person transfers materials, the Client informs the Provider. The Provider may request confirmation of authority and transfer basis. The Client's or sender's representations do not release the Provider from their own legal duties.
6.3. The Client must ensure safe object access, necessary passes, lighting, electricity and accompaniment where required by the Invoice-Order.
6.4. The Client must respond promptly to Provider requests, approve additional costs, accept the result and pay.
6.5. The Client may receive progress information to the extent compatible with examination independence and make reasoned comments on compliance with the Invoice-Order.
6.6. The Client must disclose access restrictions, special information protection regimes and other circumstances affecting lawful transfer and examination. Passwords, verification codes and access to bank accounts are not transferred for service provision.
6.7. The Client or sender discloses known use and disclosure restrictions, including state, commercial, advocate-client, medical and other legally protected secrets, preliminary investigation data and special categories of personal data. Such materials are transferred only with a proper legal basis and conditions required for the relevant regime. Sending materials does not override statutory restrictions.
7. Transfer, examination and return of the object
7.1. Transfer of a physical object, original documents and samples is recorded by a certificate, receipt, enclosure inventory, courier document or other evidence identifying the subject, condition and transfer date.
7.2. Upon receipt, where possible, the names and numbers of samples and other objects, sampling place, time and method, labelling, packaging, delivery conditions, seals, condition and accompanying documents are recorded. Hidden properties not discoverable during normal receipt are not presumed to have arisen with the Provider without evidence.
7.3. Sampling and consumption, opening packaging and seals or other alteration requires separate written agreement with the Client or express specification of the nature, scope and consequences in the Invoice-Order. Sampling and documentation procedures are agreed in light of the examination purpose and applicable requirements.
7.4. If the agreed method consumes a sample or changes its properties, any remaining portion suitable for return is returned. Normal consumption of an agreed quantity is not damage. Special storage conditions and maximum sample suitability periods are agreed before transfer.
7.5. Remaining samples and other objects are returned by the method and at the expense of the party specified in the Invoice-Order, considering transport and preservation conditions. Objects that cannot safely be returned or stored further are accepted only after separate agreement on handling.
7.6. The general storage period after notice of readiness for return is 30 calendar days unless the Invoice-Order specifies otherwise. For samples with limited stability or special requirements, conditions, retention and subsequent actions are agreed before transfer. Additional storage fees require prior agreement on the amount or calculation method. The Provider asks the Client to collect the remaining object or agree shipment; ownership does not pass to the Provider.
7.7. To the extent necessary for the agreed order, technical copying, working electronic copies, scanning, text recognition and format conversion are permitted. These actions do not authorise other uses, publication or disclosure to unauthorised persons. Original documents, physical media and objects are not altered or destroyed without separate written agreement, except agreed actions under clauses 7.3 and 7.4.
7.8. Electronic working copies and files received, including email and storage system copies, are retained only to the necessary extent and for a period justified by the specific contract, mandatory retention requirements or an independent lawful basis to protect the Parties' rights. Excess working copies are deleted when no longer needed. After achievement of the purpose, expiry of the applicable period or cessation of the legal basis, data are deleted or destroyed within statutory periods. Personal data processing terms and periods are defined by the Personal Data Processing Policy; enquiries without a contract follow its maximum of 90 calendar days from the last substantive message. This clause does not permit indefinite retention of all materials or destruction of originals or physical objects to be returned.
8. Fees and settlement
8.1. The Invoice-Order specifies fees and payment procedure and timing. Unless stated otherwise, Services require 100% advance payment.
8.2. The Invoice-Order may provide for 100% advance payment or partial payment followed by the balance. It defines the payment constituting acceptance, remaining fee and its deadline.
8.3. Partial payment is fully credited to the total service fee and is not a separate contract conclusion charge, earnest money, penalty or commission.
8.4. Payment may be made by the Client or a third party for the Client. For third-party payment, the payment purpose or message to the Provider identifies the Invoice-Order number and date, Client details or other reliable order identification. The Client's payment obligation is discharged to the extent paid when funds reach the Provider's account or the payment operator confirms payment.
8.5. If the Invoice-Order requires the balance after examination completion, the Provider notifies the Client that the Specialist Opinion is ready and states the amount due. Unless otherwise specified, the balance is payable within 3 working days from sending that notice.
8.6. If the balance is payable after notice of readiness, the Specialist Opinion is delivered after full payment unless the Invoice-Order expressly specifies otherwise. Where readiness notice is timely, withholding delivery pending full payment is not a breach of the service timeframe.
8.7. VAT status is stated in the Invoice-Order and settlement documents.
8.8. Third-party services, obtaining additional materials, delivery and other expenses are excluded unless expressly included in the Invoice-Order. They are incurred after prior written agreement of the amount or expense limit.
8.9. The Provider issues a cash register receipt or other settlement document in cases and under procedures required by law. For advance payment, offsetting it, final settlement, refunds and other settlements, receipts show the appropriate settlement and payment method indicators under Russian Federation law. Receipts are sent to the Client's email or subscriber number, or delivered by another legally permitted method.
8.10. This Offer sets no contractual penalty, fine or late-payment charge. For late payment, the Provider may suspend Services or delivery of the Specialist Opinion until receipt of the Invoice-Order amount, after notifying the Client. Absence of a contractual penalty does not release the Client from paying for Services actually provided and agreed expenses.
9. Service timeframe
9.1. The timeframe is specified in the Invoice-Order and starts on the next working day after the last necessary event: receipt of the acceptance payment, object, complete materials, object access and mandatory approvals.
9.2. The period is suspended while awaiting materials, answers, access, destructive method consent, payment of agreed expenses, removal of dangerous conditions or other obstacles dependent on the Client or third parties.
9.3. If the actual scope substantially exceeds that initially anticipated or further examination is required, the Provider proposes changes to the timeframe and fee. Without agreement, only the original scope is performed where technically possible.
9.4. The Provider notifies the Client of delays and the expected new completion date through the agreed channel.
10. Delivery and service acceptance
10.1. The Opinion is delivered electronically and/or on paper according to the Invoice-Order. An electronic copy may be sent by email, electronic document interchange, secure storage or another agreed channel. Delivery to a representative or another recipient named by the Client requires confirmation of authority to receive it. Payment or material transfer alone does not justify delivery to that person.
10.2. The Provider supplies a Service Acceptance Certificate together with the deliverable or separately. By agreement, it is provided on paper personally, by post or delivery service, or sent to an agreed email as a PDF, scanned signed copy or electronic document with an electronic signature, through electronic document interchange or another agreed method. Electronic format is not mandatory. Providing the Certificate does not mean it is signed by the Client; acceptance follows clauses 10.3 and 10.4.
10.3. Within 5 working days after receiving the Specialist Opinion and Service Acceptance Certificate, the Client may sign the Certificate, send reasoned written comments identifying specific deviations from the Invoice-Order, or request clarification of delivery or presentation arrangements.
10.4. If no reasoned comments arrive within the specified period, the Provider may treat Services as accepted in the agreed scope and issue a unilateral Certificate with evidence of sending the Opinion and Certificate to the Client. Failure to sign alone does not release the Client from payment. This clause does not restrict statutory rights to claims concerning service defects within Russian Federation law's cases and periods.
10.5. An electronic message is considered sent to the address or number provided by the Client. Legally significant messages are deemed delivered under Article 165.1 of the Civil Code of the Russian Federation, including where received but not read for reasons attributable to the recipient.
11. Contract cancellation and impossibility of performance
11.1. The Client may withdraw from performance at any time before Services are fully provided by sending the Provider notice to zapros@aml-expert.ru or the Provider's postal address. On cancellation, the Client reimburses only documented expenses actually incurred by the Provider in performing the particular Invoice-Order before receipt of cancellation notice. No penalty or separate cancellation charge applies. The unused portion of advance payment is refunded after actual expenses are determined. If actual expenses exceed payment received, the Client pays the difference based on the Provider's calculation and supporting documents.
11.2. Actual expenses are determined from documents evidencing costs of performing the specific order. Allocation of the fee by stages informs progress and does not itself replace evidence of actual expenses.
11.3. If performance becomes impossible for reasons attributable to the Client, consequences follow Russian Federation law, considering actions actually completed and Provider expenses. If performance becomes impossible for reasons for which neither Party is responsible, the Client reimburses documented actual expenses unless mandatory Russian Federation law provides otherwise.
11.4. The Provider may withdraw only in cases and with consequences permitted by law, including return of the unearned payment and reimbursement of Client losses where required.
11.5. If the Opinion cannot be prepared, the Provider sends reasoned notice and a calculation for the part actually completed. By agreement, an informational report on actions performed may be prepared without answers to the questions.
12. Confidentiality and personal data
12.1. The Provider keeps information received in performing the contract confidential. Access and transfer are permitted only as necessary and on an appropriate lawful basis: to perform the contract, involve an agreed specialist, deliver the result to an authorised recipient named by the Client, protect rights or comply with law. These cases do not override special restrictions on disclosure of protected secrets and processing of personal data.
12.2. Use of the Client's name, company name or trademark, information about the person in whose interests the examination is performed, deliverable content, case materials or object information in advertising, portfolios and publications requires that person's separate consent or another applicable lawful basis. The Client's consent alone does not authorise disclosure of other persons' personal data or protected information.
12.3. Personal data are processed as necessary to receive the Enquiry, conclude and perform the contract, make settlements, examine materials, prepare and deliver the result, create necessary working copies, arrange delivery and consider enquiries. Detailed terms are published in the Personal Data Processing Policy at: https://aml-expert.ru/legal/privacy-policy/
12.4. Do not send special categories of personal data or restricted information unnecessary for the agreed Service. If objectively needed, the Parties determine the applicable legal basis, permissible scope and protective measures before transfer. Ordinary acceptance of the Offer cannot replace special consent, permission or another mandatory statutory procedure. Without a proper basis, information is not used for the Service; the Provider restricts access and deletes it under statutory procedure.
12.5. Work with criminal case materials complies with applicable Article 161 of the Code of Criminal Procedure of the Russian Federation. Where provision to a specialist is conditional on a written non-disclosure undertaking, it is executed separately before transfer; acceptance of the Offer does not replace it. Proper non-disclosure warnings and statutory permissions are considered when using materials and delivering results.
12.6. Confidentiality survives performance or termination within statutory and agreed restrictions. Return or deletion of materials does not permit disclosure of confidential information previously obtained.
13. Liability
13.1. The Parties are liable under law and contract.
13.2. Absent fault, the Provider is not responsible for consequences of inaccurate, incomplete or late Client information, changes to the object before or after examination or third-party decisions.
13.3. The Provider guarantees no particular judicial, administrative, insurance, commercial or other outcome.
13.4. Offer terms do not apply insofar as they restrict Client rights granted by mandatory Russian Federation law. Providing identical or more favourable contractual terms to all Clients does not change the Parties' statutory legal status.
13.5. A Party is released from liability for breach caused by extraordinary and unavoidable circumstances if it promptly notifies the other Party and establishes their effect on performance.
14. Communications, claims and disputes
14.1. The Parties may exchange paper documents personally, by post or delivery service and, by agreement, documents and messages by email, messenger, electronic document interchange and other channels identifying the sender and content. The Parties agree the method; electronic exchange is not mandatory.
14.2. General and contractual enquiries are sent to zapros@aml-expert.ru; contract cancellation notices to zapros@aml-expert.ru; refund requests to zapros@aml-expert.ru; claims to zapros@aml-expert.ru; personal data processing enquiries to zapros@aml-expert.ru. The Provider's postal address: P.O. Box 15, Moscow, 117647.
14.3. A claim must identify the Client and relevant Invoice-Order, describe the circumstances, state the demand and include supporting materials. The Provider considers it within the period established by Russian Federation law. If no mandatory period is set, a response is sent within 15 working days of receipt.
14.4. The Parties seek to resolve disagreements through negotiations and written submissions. If negotiation fails, the dispute goes to a court under Russian Federation law's subject-matter and territorial jurisdiction rules. This Offer does not restrict the Client's statutory right to choose a court.
14.5. Invalidity of an individual term does not invalidate the remaining provisions.
14.6. Email addresses and other contractual exchange channels are specified in the Invoice-Order or agreed correspondence reliably identifying the Parties. They may be used for the Invoice-Order, materials, deliverable, Certificate, comments, notices and approvals. If the sender or authority is doubtful, the Provider may request confirmation. Changes of contact address or deliverable recipient are confirmed by the Client through a previously agreed channel or another reliable method.
14.7. The Parties permit exchange of scanned signed documents for contractual interaction and evidence of correspondence content unless mandatory law requires another form. A scan is not automatically an electronic original bearing a qualified electronic signature. A simple or unqualified electronic signature is permitted where a statutory or separately agreed procedure identifies the signer. If needed, the Parties agree paper original exchange or electronic document interchange. Sending a document does not replace the recipient's consent or signature.
